By accessing and using our apartment turnover coordination services, website, or any related services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Use and our Privacy Policy. If you do not agree to these terms, please do not access or use our services.

These Terms of Use constitute a legally binding agreement between you and us. If you are using our services on behalf of a company or organization, you represent that you have the authority to bind that entity to these terms.

We provide professional coordination services for apartment and property turnovers. Our services include but are not limited to:

  • Communication and status updates
  • Dashboard access for tracking and monitoring

Our services are designed to streamline the property turnover process and reduce downtime between tenants. Specific services provided will be detailed in your individual service agreement.

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time, with or without notice, for any reason including but not limited to maintenance, updates, or business decisions.

3. Acceptable Use

You agree to use our services only for lawful purposes and in accordance with these Terms of Use. You agree not to:

  • Use our services in any way that violates any applicable law or regulation
  • Transmit any malicious code, viruses, or harmful materials
  • Attempt to gain unauthorized access to our systems or networks
  • Interfere with or disrupt the operation of our services
  • Use our services to infringe upon the rights of others
  • Provide false, inaccurate, or misleading information

We reserve the right to suspend or terminate your access if you violate these acceptable use provisions.

4. Limitation of Liability

To the maximum extent permitted by applicable law, we provide our services "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

We shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services, including but not limited to:

  • Loss of profits, revenue, or business opportunities
  • Loss of data or information
  • Service interruptions, delays, or unavailability
  • Errors or omissions in service delivery
  • Third-party vendor actions or failures
  • Property damage or loss
  • Business interruption or loss of use

Our total liability for any claims arising from these Terms of Use or your use of our services, whether in contract, tort, or otherwise, shall not exceed the amount you paid us for the specific service giving rise to the claim in the twelve months preceding the claim, or one hundred dollars ($100), whichever is greater.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for incidental or consequential damages. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.

5. Dispute Resolution

In the event of any dispute, claim, or controversy arising out of or relating to these Terms of Use, our services, or the relationship between you and us, the parties agree to follow this dispute resolution process:

Informal Resolution

The parties agree to first attempt to resolve any dispute through good faith negotiations. You agree to contact us directly to discuss the issue before initiating any formal dispute resolution process. We will make reasonable efforts to address your concerns and resolve the dispute amicably.

If the dispute cannot be resolved through direct negotiation within 30 days from the date one party notifies the other of the dispute, the parties agree to proceed to formal dispute resolution.

Binding Arbitration

If the dispute cannot be resolved through negotiation, the parties agree to submit the dispute to binding arbitration in accordance with the rules and procedures of the American Arbitration Association (AAA). The arbitration shall be conducted under the AAA's Commercial Arbitration Rules.

The arbitration shall take place in West Seneca, New York, United States, and shall be conducted in English. The arbitrator's decision shall be final and binding on both parties and may be entered as a judgment in any court of competent jurisdiction.

Each party shall bear their own costs and attorneys' fees unless the arbitrator determines that a different allocation is appropriate under the circumstances.

Exceptions to Arbitration

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect their intellectual property rights, to prevent irreparable harm, or to enforce these Terms of Use. Additionally, either party may bring an action in small claims court for disputes within that court's jurisdiction.

Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration.

6. Applicable Law

These Terms of Use shall be governed by and construed in accordance with the laws of the State of New York, United States, without regard to its conflict of law provisions or the conflict of law provisions of any other jurisdiction.

Any legal action or proceeding arising under these Terms of Use that is not subject to arbitration (as described above) shall be brought exclusively in the federal or state courts located in Erie County, New York, and you consent to the personal jurisdiction and venue of such courts.

If any provision of these Terms of Use is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms of Use shall otherwise remain in full force and effect.
